1. Introduction

These Terms of Use (the "Terms") describe your rights and responsibilities regarding the Acubic platform and algorithmic portfolio builder (the "Platform"), operated by Acubic, Inc. ("we", "our", "us"), a Delaware corporation registered with the Delaware Division of Corporations under file number 10686560, with registered office at 16192 Coastal Highway, Lewes, DE 19958, United States.

By accessing or using the Platform, you agree to these Terms and acknowledge our Privacy Policy and Cookie Policy.

2. Important Financial Disclaimers

Not Financial Advice: The Platform is a software tool intended for informational, educational, and computational purposes only. It is not, and should not be considered, comprehensive financial advice, investment advice, care, or portfolio management.

You understand and agree that Acubic provides algorithmic modeling and data, and is not a registered investment advisor, broker/dealer, or fiduciary. We disclaim all liability for any trading losses or financial decisions made based on our Platform's outputs. Always seek the advice of a qualified financial advisor regarding your personal financial situation.

3. User Accounts

To use the Services, you must be 18 years of age or older. You are responsible for maintaining the confidentiality of your account credentials. You must not transfer or share your password with anyone else, and you are responsible for any activities that occur under your account.

4. Acceptable Use

You may not misuse the Platform, attempt unauthorized access, bypass quotas or security controls, scrape or resell outputs, upload unlawful content, interfere with service operation, or use the Platform for regulated financial advice to others without appropriate authorization.

5. Intellectual Property and User Data

Acubic, Inc. is the sole and exclusive owner of all right, title, and interest in and to the Platform and its content, features, and algorithms. No right, title, or interest is transferred to you, and we reserve all rights not expressly granted.

Third-party names and logos shown on the Platform, including those of brokers such as eToro and Trading 212, are the trademarks of their respective owners and are used only to identify the services the Platform interoperates with. Acubic is a listed third-party application in the eToro App Store and connects through eToro's official API. Acubic, Inc. is nonetheless an independent company: it is not owned by or part of any broker, it has no commercial or reseller agreement with any broker, and no broker endorses or takes responsibility for the Platform's outputs.

You retain rights in portfolio inputs and other information you provide, subject to the license needed for us to operate, secure, support, and improve the Platform as described in our Privacy Policy. You agree not to reverse-engineer, copy, scrape, or otherwise use the Platform's algorithms or data for your own commercial products without express written permission.

6. Payments, Subscriptions, Cancellation, and Refunds

Paid plans are billed through Stripe. The price, billing period, renewal terms, any trial length, and applicable taxes are shown at checkout before you confirm, and those displayed terms govern your subscription.

Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from the billing section of your account; cancellation takes effect at the end of the period you have already paid for, and access continues until then. We do not prorate refunds for partial periods except where required by applicable law.

7. Disclaimer of Warranties & Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY LAW, ACUBIC, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE PLATFORM.

8. Termination and Service Changes

We may suspend or terminate access for misuse, security risk, non-payment, or violation of these Terms. We may modify or discontinue features, subject to applicable law and any commitments made in paid-plan disclosures.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of these Terms or your use of the Platform.

Nothing in this section removes any protection you have under the mandatory consumer law of your country of residence. If you are a consumer resident in the European Union or the United Kingdom, you keep the right to bring proceedings in the courts of your own country and to rely on the consumer protections available to you there.
